These Subscription Agreement Terms set out the expectations, responsibilities and guidelines for all subscribers using the Surch Foods platform, including suppliers, experts, consultants and service providers. These terms ensure a transparent, professional, and trustworthy experience for both suppliers, buyers, experts and the food industry supporting fair business practices, product accuracy and service reliability.
By joining Surch Foods, suppliers and experts agree to uphold the integrity of their listings, communicate honestly, and comply with all applicable regulations-helping us build a platform rooted in trust and industry excellence.
For the purpose of these Terms, “Subscribers” refers to both Suppliers and Experts/Consultants who create, maintain or promote paid or unpaid profiles, listings, services or content on the Platform.
“Suppliers” includes businesses listing or promoting products, ingredients, packaging, machinery, services, chemicals, distribution, private label, co-packing or co-manufacturing capabilities.
“Experts” or “Consultants” includes individuals or businesses listing or promoting professional services, advisory services, fractional support, consulting services or food industry expertise.
By joining Surch Foods, Subscribers agree to provide accurate information, communicate honestly, maintain professional standards and comply with all applicable laws, regulations and industry requirements.
These Terms are intended to support a transparent, professional and trustworthy experience for all users of the Platform.

Suppliers are responsible for the accuracy, completeness and compliance of all product, ingredient, packaging, machinery, chemical, distribution, co-packing, co-manufacturing and service-related information submitted to the Platform.
Suppliers must truthfully represent all product specifications, ingredients, allergens, certifications, claims, availability, minimum order quantities, manufacturing capabilities, regulatory status, food safety information, documents and related business information.
Suppliers are solely responsible for ensuring that their products, services, facilities, documentation, claims and business practices comply with all applicable laws, regulations, customer requirements and industry standards.
Experts, consultants and service providers are responsible for the accuracy of all professional claims, credentials, qualifications, certifications, licenses, affiliations, biographies, areas of expertise, case studies, testimonials, client references and services offered.
Experts must truthfully represent their professional experience, capabilities, education, certifications, licenses, industry background, affiliations and service capacity.
Experts, consultants and service providers are solely responsible for the advice, services, deliverables, recommendations, materials, results and professional work they provide to other users through or as a result of connections made on the Platform.
Experts, consultants and service providers are independent businesses or professionals and are not employees, agents, partners, representatives or endorsed advisors of Surch Foods.
Surch Foods provides a discovery and connection platform only. Surch Foods does not verify, guarantee or endorse the quality, suitability, availability, compliance, results, outcomes, credentials, products, services or professional work of any supplier, expert, consultant or service provider.
Companies, buyers and users who connect with Subscribers through the Platform are responsible for conducting their own due diligence before engaging a Subscriber, purchasing products or services, entering into a business relationship, or relying on any information, advice, recommendation or representation provided by a Subscriber.
All content you submit to the Platform, including text, images, documents, certifications, testimonials, client logos, and other materials (“Content”), must be your original work or used with proper authorization.
By submitting Content, you grant Surch Foods a non-exclusive, royalty-free, worldwide license to host, display, reproduce, distribute, and use such Content on the Platform and in Surch Foods marketing, promotional, and educational materials.
You remain solely responsible for the legality, accuracy, and ownership of your Content.
Subscribers are responsible for ensuring they have the right to use and publish all content submitted to the Platform, including product images, logos, documents, certifications, biographies, service descriptions, testimonials, client names, case studies, references and marketing materials.
Subscribers must not publish confidential, proprietary, misleading, unauthorized or infringing content.
Surch Foods may request documentation or information to review your identity, credentials, certifications or compliance. Participation in any review process, or the display of “Certified,” “Vetted,” or similar badges, does not constitute an endorsement, warranty or guarantee by Surch Foods of your products, services, qualifications or representations.
Verification/certification indicators are informational only and do not replace independent due diligence by other users.
Subscription access is subject to the pricing and plan details displayed at the time of purchase.
Unless otherwise stated, subscription fees are non-refundable. You are responsible for all applicable taxes associated with your subscription.

You assume full responsibility for your business and professional activities conducted on or resulting from use of the Platform.
Surch Foods is not a party to any transaction, service agreement, consulting engagement, purchase order, supply agreement, statement of work or professional relationship entered into between users.
Any agreements, payments, deliverables, disputes, warranties, representations or outcomes are solely between the applicable users.
Surch Foods may suspend or terminate your subscription or access to the Platform at its discretion for:
You may terminate your subscription at any time. Any outstanding payment obligations or accrued liabilities will survive termination.
You agree not to disclose confidential Platform information, internal communications, private messages, or user data obtained through Surch Foods, except as required by law or with proper authorization.
Surch Foods may update this Agreement from time to time. Any changes will be effective upon posting to the Website. Your continued access to or use of the Website after changes are posted constitutes acceptance of the revised Terms.
You acknowledge that this Agreement may be updated since your last use of the Website and agree that it is your responsibility to review the current version of the Agreement each time you access or use the Website. Surch Foods is not obligated to provide individual notice of changes to this Agreement, unless required by law.
This Agreement is governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved by confidential binding arbitration in Ontario.
